Lakshmikumaran and Sridharan Attorneys (L&S) advised and acted for Fibro India Precision Products Private Limited (Fibro India), a subsidiary of LÄPPLE AG, in the sale and transfer of its rotary table unit business to Fibro Rotary Tables India Private Limited (a newly formed entity of the acquirer), as part of LÄPPLE Group’s global restructuring.
LÄPPLE Group, a global leader in manufacturing solutions, undertook a strategic realignment involving the transfer of its Rotary Table business across Germany, the US, China, and India. The Indian leg of this transaction involved the sale and transfer of the rotary tables business undertaking (which included transfer of moveable assets, plantsand machinery, employees, contacts, liabilities and lease of the manufacturing unit).
The corporate team, led by Srabonee Roy (Partner) and comprising Hima Swetha (Associate) and Sushmita Sharma (Associate) advised Fibro India on the transaction. The tax team comprising of Karanjot Singh (Partner) and Devashish Jain (Principal Associate) advised on direct tax aspects and Sudeshna Banerjee (Associate Partner) along with Neha HD (Senior Associates) and Harneet Jagdev (Associate) advised on the indirect tax aspect of the transaction. The firm played a key role in drafting, reviewing, negotiating, and finalizing the transaction documents. The transaction had nuanced aspects on the licensing of intellectual property, tax implication on various structures proposed for the transaction, procurement of approval for the sub-lease from the Maharashtra Industrial Development Corporation amongst others. Additionally, the firm provided advice on incorporation of an Indian subsidiary of a person resident outside of India (i.e. in relation to the acquirer entity) under the foreign exchange laws of India.
